Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Rally Tally ("we," "us," or "our") governing your use of the Rally Tally mobile application and website (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 17 years of age to use Rally Tally. By using the Service, you represent and warrant that you are 17 years of age or older. If you are under 17, you are not permitted to use the Service.

You must have the legal capacity to enter into a binding agreement in your jurisdiction.

3. Your Account

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must provide accurate and complete information when creating your account
• You may not use another person's account without permission
• You must notify us immediately at support@rallytally.app if you believe your account has been compromised

4. Acceptable Use

You agree to use Rally Tally only for its intended purpose: tracking shared expenses and settling debts among friends. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Harass, abuse, or harm other users
• Post false, misleading, or fraudulent expense information
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or attempt to extract the source code of the App
• Use the Service to facilitate money laundering, fraud, or other financial crimes
• Create multiple accounts to evade restrictions or bans
• Use automated scripts or bots to interact with the Service
• Transmit any malware, viruses, or malicious code

5. User Content

You retain ownership of content you submit to Rally Tally (expense descriptions, night names, profile photos). By submitting content, you grant Rally Tally a non-exclusive, royalty-free, worldwide license to store, display, and transmit that content solely for the purpose of operating the Service.

You are solely responsible for the content you submit. You represent that you have the right to share any content you upload and that it does not violate any third-party rights.

6. Payments and Financial Transactions

Rally Tally is an expense tracking and settlement calculation tool only. We do not process, hold, transfer, or facilitate actual money transfers. All payments between users are made directly through third-party services (Venmo, CashApp) subject to those services' own terms and conditions.

We are not responsible for:

• Disputes between users regarding expense amounts or settlements
• Failed or disputed payments made through third-party payment apps
• Inaccuracies in expense data entered by users

7. Privacy

Your use of Rally Tally is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

8. Intellectual Property

Rally Tally and all of its original content, features, and functionality are owned by Rally Tally and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The Rally Tally name, logo, and all related marks are trademarks of Rally Tally. Nothing in these Terms grants you any right to use our trademarks.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any data loss resulting from technical issues beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RALLY TALLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim (or $10 if you have not made any payments).

11. Termination

You may terminate your account at any time by using the Delete Account feature in the App (Profile → Delete Account).

We may suspend or terminate your access to the Service at any time, with or without notice, if we determine you have violated these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Service ceases immediately. Sections 5, 8, 9, 10, and 12 of these Terms survive termination.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration rather than in court, except that you may bring claims in small claims court if your claims qualify.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
